1. Agreement
By creating a Codel account, you ("you" or "User") agree to these Terms of Service ("Terms") and to the Privacy Policy. If you do not agree, do not use the service.
2. What Codel does
Codel ingests credit-card transactions from accounts you connect via Plaid, texts you about each new transaction, accepts your plain-language reply, and uses the reply to categorize the transaction by project and expense category for accounting purposes. Outputs include a reviewable transaction list and exportable coding sheets.
3. Eligibility
You must be 18 or older, capable of forming a binding contract, and authorized to connect the card(s) you connect to Codel. The service is provided for business expense coding; you are responsible for ensuring you have permission from your business / cardholder / accountant to use it for those accounts.
4. Your account
- You're responsible for keeping your login credentials and phone secure.
- You're responsible for the accuracy of the information you provide (including your phone number, project list, and category list).
- You may not share your account with people who haven't accepted these Terms.
5. SMS terms (Codel SMS program)
- Program name: Codel.
- Program description: Codel sends you a text message when a new charge is detected on a credit card you have connected to your account. Each message identifies the transaction (amount, merchant, date, and a short reference code) and asks what the purchase was for. Your reply is stored as the transaction's note for accounting categorization.
- How you authorize messages: by providing your phone number and checking the explicit consent box at signup, you authorize Codel to send transaction-notification text messages to that number.
- Message frequency: event-driven — one text per new card transaction we ingest. Frequency therefore varies based on your card activity.
- Message and data rates: standard message and data rates from your mobile carrier may apply. Codel does not charge you separately for these texts.
- Opt-out: reply STOP to any Codel message to immediately stop further texts. We also honor STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT.
- Help: reply HELP to receive a short service-info reply.
- Support contact: email taylorleefischer@gmail.com for any question about the SMS program.
- Delivery: Codel relies on Twilio for SMS delivery; we are not responsible for carrier failures, delays, or filtering outside our control.
6. Acceptable use
You agree not to:
- Connect cards you are not authorized to access.
- Use the service to harass any person via reply text or otherwise.
- Reverse engineer, scrape, or attempt to circumvent the service's security controls.
- Use the service for any illegal purpose.
7. Third-party services
The service relies on Plaid, Twilio, Anthropic, and our hosting providers. Their terms and privacy policies apply to their respective processing. We are not responsible for outages, errors, or changes by these providers.
8. Intellectual property
Codel and its underlying code, designs, and content are owned by the Operator. You retain ownership of the data you upload (project lists, category lists, your SMS replies, the notes you create). You grant Codel a limited license to process that data to operate the service.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CODEL DOES NOT GUARANTEE THAT TRANSACTION CATEGORIZATION IS COMPLETE OR ACCURATE; YOU ARE RESPONSIBLE FOR REVIEWING ALL CODING BEFORE RELYING ON IT FOR ACCOUNTING, TAX, OR REGULATORY PURPOSES.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID THE OPERATOR IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY OR (B) USD $100. THE OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to defend and hold the Operator harmless from any claim arising from your use of the service in violation of these Terms or applicable law, including claims related to cards you connected without authorization or text-message replies you sent.
12. Termination
You may terminate your account at any time by emailing taylorleefischer@gmail.com. We may suspend or terminate your access if you materially breach these Terms or if continued operation poses legal or security risk. On termination, we will delete your data per the retention provisions in the Privacy Policy.
13. Changes to these Terms
We may update these Terms. Material changes will be communicated by email or in-app notice. Continued use after the effective date of changes constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.
